Accounting & Annual Accounts
Due to their limited liability status, companies are required to publish their annual accounts with the Commercial Registry each year and periodically validate their accounting records. The accounting entries form the basis for preparing the balance sheet and the other accounting books, which together constitute the annual accounts.

A) Accounting
Companies must comply with various accounting and invoicing obligations, where the correct deduction of expenses and the accurate recording of income play a particularly important role. Our services are designed to take care of all relevant legal and tax aspects, allowing you to fully focus on your business activity.
- Upload your invoices directly to our digital file (OneDrive). No accounting knowledge is required, and you do not need to install any software or process invoices manually.
- Upon request, we provide you with the A3Factura invoicing software as an interface with our accounting programme (A3). This software meets the requirements that will be necessary from 2027 for reconciliation with the Tax Agency (Veri*Factu) and allows you to issue electronic invoices. The licence fee is €10 per month, and we take care of purchasing the licence on your behalf. You will also receive a dossier in German.

- Transparency regarding the deductibility of business expenses, including lists of non-deductible expenses that may be corrected.
- Recording of issued and received invoices.

- Reconciliation and recording of bank transactions from the company account.
- Preparation of the balance sheet (available in German upon request), profit and loss account and management report (annual accounts).
B) Annual Accounts
Regarding corporate obligations, a company must record its internal activities in various books and corporate records, hold shareholders' meetings, approve the annual accounts, file them with the Commercial Registry and legalise the accounting books.
- Preparation of the minutes book and assistance to the management in preparing the Shareholders' Meeting.
- Assistance with the preparation and maintenance of the shareholders' register.
- Submission of the annual accounts to the Commercial Registry.
- Legalisation and filing of the accounting books with the Commercial Registry.
C) Tax Returns
In addition to accounting and annual accounts obligations, the correct filing of the different tax returns is one of the most important responsibilities in the administration of a limited company. Once the accounting records have been prepared, they must be adapted to the applicable tax criteria and the corresponding tax returns must be submitted. Most of these returns are filed either quarterly or annually, although some must be submitted monthly or even immediately through automated systems. Which tax returns (Modelos) must be filed and when depends mainly on the type of activity, the amount of income and the location of your customers. Our firm particularly assists clients with economic interests or customers in Germany, Austria, Switzerland or generally within the EU.
Our service includes the preparation and submission of the relevant tax returns, adapting our services to the specific needs of each company.
- Modelo 200: Preparation and submission of corporate income tax return.
- Modelo 202: Advance payments of corporate income tax.
- Modelo 303: Submission of quarterly VAT return (IVA). This return must also be filed when no VAT is payable.
- Modelo 111: Submission of quarterly returns regarding income tax withholdings on salaries and professional services (Retenciones).
- Modelo 190: Submission of the annual summary of income tax withholdings paid for professionals and employees.
- Modelo 369: VAT return under the One Stop Shop regime "OSS" (One Stop Shop). Quarterly VAT return using the single point of contact system for the central payment of VAT due in different EU countries. Mandatory for distance sales of goods or digital services to final consumers within the EU when the threshold of €10,000 per year is exceeded. For goods sales, if this threshold is not exceeded, Spanish VAT may continue to apply. Voluntary participation is also possible. When using OSS, our quarterly fees are €150 for sales in up to 5 countries. For each additional country (from the 6th onwards), a fee of €5 per country applies.
- Modelo 390: Submission of the annual VAT summary return.
- Modelo 100: Submission of the annual income tax return (RENTA) regarding income received from salary paid by the company. If you have additional income sources, we will provide you with a separate quotation.
- Modelo 349: Submission of the declaration of cross-border services.
- Modelo 347: Preparation and submission of Modelo 347 regarding payments to third parties exceeding €3,000.
D) Representation before the Tax Agency and international tax advice
In addition to administrative services, advisory services play a particularly important role at our firm. Through our multidisciplinary team of lawyers, tax advisors and business consultants, together with our extensive experience in international tax law, we provide not only continuous advice regarding cross-border services and business relationships, but also advice on tax optimisation, company formation, etc. Both the companies managed by our firm and their shareholders have personal and telephone legal and tax advice included.

We represent the company directly before the Spanish Tax Agency and therefore act as your representative, automatically receiving all notifications from the Tax Agency on your behalf.
E) Employment law and payroll management
This section includes advice regarding employment contracts, preparation of employment agreements, monthly payroll management and preparation of payslips. Please note that controlling shareholders and directors (more than 30% of the shares) are included in the RETA system and therefore do not require payroll management. This section is only necessary when employees who do not hold shares in the company are employed.
F) SaaS, Apps, E-Books, VAT and OSS (One Stop Shop)
For automated online services or the sale of digital products (SaaS, online courses, downloads, memberships), there are certain important specific aspects regarding accounting and taxation:
G) Online commerce and monthly VAT refunds
REDEME is a special procedure that allows VAT to be refunded on a monthly basis (instead of having to wait until the end of the year or January of the following year, as under the general procedure). Registration for REDEME is carried out through Modelo 036. Registration automatically includes the obligation to participate in the SII system, which is explained below.
Registration for REDEME-SII automatically entails the obligation to maintain VAT record books and submit accounting information to the Tax Agency (Agencia Tributaria). As an advantage, in this case there is no obligation to submit invoice data through the mandatory "Veri-Factu" system, which will be introduced from the 2026 tax year.
